By accessing or using SkillNexus (“we,” “our,” or “us”), you agree to be bound by these Terms of Service. If you do not agree to all of these terms, do not access or use our platform.

2. Description of Service

SkillNexus provides multi-jurisdictional legal research tools, statutory vector indexing, comparative analysis matrices, and workspace query export capabilities. Our services are tailored for legal professionals, scholars, and institutional subscribers.

3. User Accounts & Security

You are responsible for maintaining the confidentiality of your account credentials and JWT tokens. You agree to notify us immediately of any unauthorized use of your account. We reserve the right to suspend or terminate accounts that violate platform security protocols or rate limits.

4. Acceptable Use Policy

When using SkillNexus, you agree not to:

• Engage in automated web scraping, excessive query flooding, or attacks intended to disrupt platform API health.
• Attempt to reverse-engineer proprietary vector embedding models or backend serverless infrastructure.
• Misrepresent legal search outputs or use platform outputs in violation of local jurisdiction regulations.
• Use the platform for any unlawful purpose or in any way that could damage, disable, overburden, or impair the service.

5. Refund Policy

SkillNexus offers refunds only for subscription plans. API credits and dataset purchases are non-refundable.

• Monthly Subscriptions: Full refund within 3 calendar days of initial charge.
• Annual Subscriptions: Full refund within 7 calendar days; prorated refunds thereafter.
• API Credits (SKNX): Non-refundable once purchased.
• Dataset Purchases: Final sale and non-refundable.

6. Limitation of Liability & Indemnification

SkillNexus provides tools to assist professional research, but does not constitute formal legal counsel. To the maximum extent permitted by applicable law, we shall not be held liable for any direct, indirect, incidental, special, consequential, or punitive damages arising out of or in connection with your use of the platform—even if advised of the possibility of such damages.

You agree to defend, indemnify, and hold harmless SkillNexus, its developers, affiliates, and licensors from and against any claims, liabilities, damages, judgments, awards, losses, costs, or expenses (including reasonable attorneys' fees) resulting from your violation of these Terms of Service or your reliance on unverified platform data.

You acknowledge and expressly agree that all search results, summaries, vector analyses, and comparative matrices generated by SkillNexus are provided for research and informational assistance only. Users maintain the absolute professional obligation to thoroughly examine, verify, and cross-reference all platform outputs against primary authoritative gazettes, official court records, and governing statutory texts before applying them in any legal, judicial, academic, or corporate context.

8. Subscriptions & Billing

Paid subscription tiers (Starter, Pro, and Enterprise) are billed in advance on a recurring monthly or annual cycle. You may cancel or modify your subscription tier at any time through your account settings or by contacting our support team.

• Billing Cycle: Subscriptions renew automatically at the end of each billing period.
• Price Changes: We reserve the right to change subscription prices with 30 days' notice. Price changes will not affect active subscriptions until the next renewal.
• Cancellation: You may cancel at any time. Cancellation will take effect at the end of the current billing period.

Payments are processed securely through Flutterwave, a PCI-DSS compliant payment gateway. Your payment information is encrypted and never stored on our servers. By making a payment, you agree to Flutterwave's Terms of Service and Privacy Policy.

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Nigeria.
